Defining Brocoly's role as a tech provider vs. your role as the licensed food maker.
What is Brocoly?
Brocoly is a technology software platform designed specifically for meal-subscription and commercial food enterprises. It provides order orchestration, subscription pause/resume workflows, daily dispatch rosters, menu publication tools, and digital payment integrations.
Does Brocoly sell the food?
Unless an explicit master procurement agreement specifies otherwise, no. The Vendor operates an independent food business and remains the commercial merchant of record responsible for the preparation, composition, freshness, and delivery of meals supplied to Customers.
Who is responsible if a Customer says the food was unsafe?
The Vendor holds complete, non-delegable responsibility for food preparation, hygienic handling, thermal holding, cold-chain preservation, allergen management, and ingredient safety. Brocoly provides digital ticket logging and customer support routing, but this software facilitation does not transfer food-business liability to Brocoly.
Who is responsible for FSSAI / licences?
The Vendor is solely responsible for acquiring, maintaining, and renewing all mandatory FSSAI food business licences, local municipal health trade clearances, fire department NOCs, and GST registrations. Brocoly conducts periodic document checks and will restrict platform access if certifications expire.
Who controls menu and pricing?
The Vendor retains autonomous control over menu design, meal plans, portion specs, and commercial pricing, subject to standard platform formatting requirements and transparent customer communication. Vendors must promptly update any price variations before recurring renewal cycles trigger.
Does Brocoly guarantee customers or revenue?
No. Brocoly provides enterprise infrastructure, marketplace indexing, and operational software. We do not provide minimum subscriber commitments, revenue guarantees, or demand promises. Kitchen profitability is driven by the Vendor’s culinary quality, consistency, and customer service.
Who handles customer complaints?
The Vendor directly addresses customer issues regarding meal contents, taste, missing add-ons, or fulfillment delays. Brocoly provides an integrated merchant ticketing console and may triage technical payment or app-related errors, routing food-specific issues directly to the Vendor’s kitchen team.

Who pays refunds?
Refund allocation corresponds to the cause of the refund under our unified Refund Policy. Refunds necessitated by kitchen downtime, missing tiffins, spoiled food, unfulfilled pre-orders, or unannounced kitchen closures are charged directly to or deducted from the Vendor’s settlement ledger. Brocoly absorbs refunds solely when caused directly by confirmed platform software faults.
What happens with chargebacks?
Vendors must actively cooperate with Brocoly and payment gateway providers when investigating chargeback disputes, providing dispatch manifests and proof of delivery where requested. If a bank upholds a chargeback resulting from service non-performance or Vendor breach, the dispute amount plus gateway administrative fees may be recouped from subsequent vendor disbursements.
Can I export my customer data?
Yes, subject to our Data Processing Agreement (DPA) and the Digital Personal Data Protection (DPDP) Act. Vendors can export their operational dispatch lists, historical order counts, and delivery records through the Kitchen Dashboard. Exports are strictly formatted to safeguard customer privacy credentials and prevent unauthorized data leakage.

Can I use customer data outside Brocoly?
Customer data provided via the platform may only be used to fulfill active meal orders and provide subscribed dining services. Exporting phone numbers or addresses for unsolicited third-party WhatsApp blasts, marketing campaigns outside Brocoly, or selling customer profiles to external aggregators is strictly forbidden and constitutes grounds for immediate account revocation.
Who owns the Brocoly software?
Brocoly Foods Pvt. Ltd. and its licensors retain all right, title, and interest (including all registered trademarks, source code, routing algorithms, and UI components) in the platform. Vendors receive a revocable, non-exclusive, non-transferable subscription license to use the system during their active partner tenure.
Who owns my menu, logo and brand content?
You retain complete intellectual property rights over your kitchen trademarks, proprietary dish names, food photographs, and culinary recipes. By uploading them, you grant Brocoly a royalty-free license to display, optimize, and market your brand across our platform, mobile apps, and promotional collateral.
Can I copy or reverse engineer Brocoly?
No. Decompiling, reverse engineering, unauthorized web scraping, rate-limit tampering, or developing derivative meal-subscription SaaS tools that emulate Brocoly’s core algorithms is strictly prohibited under our Acceptable Use Policy and international IP statutes.
What if Brocoly is down?
While we engineer high-availability cloud infrastructure with a 99.5% uptime target, uninterrupted zero-latency operation cannot be guaranteed due to carrier disruptions, cloud maintenance, or upstream banking gateway downtimes. Brocoly is not liable for indirect losses resulting from temporary planned maintenance windows.

Can Brocoly suspend my account?
Yes. Brocoly reserves the right to suspend or restrict platform features if a vendor incurs repeated safety incidents, operates with lapsed FSSAI documentation, attempts fraudulent payment practices, exhibits extreme customer dispute ratios, or breaches terms in the Master Partner Agreement.
Can I terminate?
Yes. Vendors can terminate their partnership by providing written notice as specified in their commercial onboarding schedule (typically 30 days). The Vendor must fulfill all existing, paid-in-advance subscriber meals before shutting down dispatch pipelines or settle outstanding refund liabilities.
What happens after termination?
Platform access is transitioned to read-only for 30 days to facilitate tax and ledger accounting. Remaining positive escrow balances are cleared following a standard 45-day dispute buffer. Customer information is archived or deleted in accordance with our statutory data retention protocols.
Does Brocoly provide legal or food-safety advice?
No. Brocoly provides technology, documentation checklists, and operational best-practice guides. We do not provide licensed legal, tax, FSSAI regulatory, dietetic, or medical food-safety advisory services. Vendors must consult independent legal and food-safety auditors.
What should I do if my licence expires?
You must notify our partner operations team immediately at legal@brocoly.in. By law, food preparation must cease until renewal receipts are officially filed. Brocoly will temporarily mask your storefront from accepting new customer renewals until current validation documents are verified.
Can I offer nutritional or health claims?
Only if substantiated by genuine lab tests and compliant with FSSAI Advertising and Claims Regulations. Claims like “100% Organic,” “Clinically Diabetic-Safe,” or specific macronutrient counts must be backed by documentary verification. Vendors bear sole liability for misleading claims.
Who is responsible for allergens?
The Vendor is strictly responsible for providing accurate allergen labels (dairy, gluten, nuts, soy, etc.) and maintaining rigorous cross-contamination safeguards in the kitchen. Brocoly provides input fields on the menu builder, but cannot physically inspect packaging or ingredient handling.
Does Brocoly insure my business?
No. Vendors must independently procure commercial general liability insurance, product liability policies, and commercial kitchen property insurance tailored to their business scale, physical facilities, and delivery mechanisms.
Can Brocoly change the Platform?
Yes. Brocoly continuously releases improvements, user interface updates, payment gateway optimizations, and security patches. Material modifications impacting financial settlements, pricing models, or core order workflows will be notified in advance via dashboard alerts or registered email.
